التزام أغلبية المساهمين بالواجبات الائتمانية في شركات المساهمة العامة: دراسة نقدية مقارنة بين القانون الأمريكي – ولاية ديلاوير (Delaware) – والقانون الفرنسي
الملخص
يهدف هذا البحث إلى دراسة مدى خضوع المساهمين الأغلبية للواجبات الائتمانية في شركات المساهمة العامة في ضوء النظام الأمريكي بولاية ديلاوير (Delaware)، مع التركيز على اجتهادات المحاكم بهذه الولاية باعتبارها المرجع الأبرز في حوكمة الشركات. ويرمي البحث إلى توضيح حدود مسؤولية الأغلبية المسيطرة عند تأثيرها على قرارات شركات الأموال، وتسليط الضوء على المخاطر القانونية المحتملة الناجمة عن التوسع في هذه الالتزامات. جاء اختيار الموضوع لما يثيره من إشكالات عملية؛ إذ ألزم القضاء الأمريكي الأغلبية بالواجبات الائتمانية متى سيطروا فعليا على مجلس إدارة الشركة المساهمة العامة ووجهوا القرارات بما يخدم مصالحهم الخاصة، وهو توجه يختلف عن التصورات التقليدية التي تحصر هذه الالتزامات في أعضاء المجلس وحدهم. ومن هنا انطلقت فرضية البحث التي ترى أن التوسع في هذه الالتزامات قد يؤدي إلى إضعاف دور المساهم، ويخفف من مسؤولية مجلس الإدارة، الذي يتمتع أصلًا بحماية خاصة بموجب قاعدة سمو مجلس الإدارة وقاعدة العمل التجاري المستقل.
اعتمد البحث منهجًا تحليليًا استقرائيًا، انطلق من قراءة دقيقة لأحكام ولاية ديلاوير وتحليل تطورها التاريخي، مع الاستعانة بالفقه الأمريكي لتوضيح الأساس النظري للواجبات الائتمانية، ثم استخدم المنهج المقارن لإبراز الفرق مع التجربة الفرنسية، التي لا تعرف هذا التصور، بل تكتفي بتطبيق نظرية التعسف في استعمال الحق لضبط سلوك الأغلبية دون تحميلها التزامات مماثلة لمجلس الإدارة.
توصل البحث إلى أن القضاء الأمريكي بولاية ديلاوير يثير إشكالية طمس الفوارق بين أدوار الأغلبية والمجلس، وهو ما يطرح مخاطر قانونية على استقرار نظرية الشركة المساهمة. وتكمن أصالة البحث في انتقاد النظام الأمريكي من خلال اختلال التوازن في شأن سلطة الأغلبية من خلال فرض الواجبات الائتمانية عليهم.
